These Terms & Conditions ("Terms") govern your use of the website, web portal, mobile application and services (together, the "Platform") operated by VD Pay Services ("we", "us", "our"). By registering for an account or using the Platform you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Eligibility and registration
- You must be at least 18 years old and legally capable of entering into a binding contract in India.
- You must provide accurate and complete information during registration and keep it up to date. We may ask for KYC documents (identity and address proof, PAN, business proof) before activating or continuing services.
- One person or business may hold only one account unless we approve otherwise in writing.
2. Nature of service
We act as a facilitator for mobile recharge, DTH recharge, bill payment and related digital services offered by telecom operators, DTH operators, billers and their aggregators ("Service Providers"). The actual service is delivered by the Service Provider. We are not responsible for the quality, validity or availability of any plan, pack or service offered by a Service Provider.
3. Wallet
- Services are paid from your prepaid wallet balance. Wallet balance can be added through the payment options shown on the Platform or through your upline distributor.
- Wallet balance is not a deposit, does not earn interest and can only be used for services on the Platform.
- Commission earned is credited to your wallet on each successful transaction as per the commission structure assigned to your account.
- Any excess credit made to your wallet by mistake, or any credit arising from a transaction later found to be failed or fraudulent, may be reversed by us.
4. Your responsibilities
- You are solely responsible for entering the correct mobile number, subscriber ID, consumer number, operator and amount. Transactions processed on a wrong number or wrong operator cannot be reversed once the Service Provider has accepted them.
- Keep your login credentials, OTP and transaction PIN confidential. All transactions made using your credentials are deemed to be made by you.
- You must not use the Platform for any unlawful activity, money laundering, fraud, or for services that you are not authorised to sell.
- Distributors are responsible for the retailers they onboard and for funds they transfer to their downline.
5. Transaction status
A transaction may show as Success, Pending or Failed. Pending transactions are updated automatically once the Service Provider confirms the result, which can take from a few minutes up to 72 hours in rare cases. Please do not repeat a pending transaction. Failed transactions are refunded to your wallet as described in our Refund & Cancellation Policy.
6. Commission and charges
Commission rates, charges and slabs are shown in the portal and may be revised by us at any time. Revised rates apply to transactions made after the change. Details are available on our Pricing page.
7. API partners
API partners must keep their API keys secure, follow the rate limits and documentation provided, and implement callback handling correctly. We may suspend API access for abuse, excessive failed requests or suspected misuse.
8. Suspension and termination
We may suspend or terminate your account, with or without notice, if you breach these Terms, if we suspect fraudulent or suspicious activity, if required by law or a Service Provider, or if your account remains inactive for an extended period. On termination, any legitimate wallet balance will be settled after adjusting outstanding dues, chargebacks and disputes.
9. Limitation of liability
The Platform is provided on an "as is" basis. To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss, loss of business or profit, or for delays and failures caused by Service Providers, banks, payment gateways, network outages or events beyond our reasonable control. Our total liability for any claim is limited to the value of the transaction giving rise to the claim.
10. Intellectual property
All content, software, logos and trademarks on the Platform belong to VD Pay Services or its licensors and may not be copied or used without written permission. Operator and biller names and logos belong to their respective owners.
11. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the Platform after a change constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of India. Courts in Karnataka, India shall have exclusive jurisdiction over any dispute arising from these Terms or your use of the Platform.
